Terms of Service

These Terms of Service ("Terms") govern your access to and use of GPUCtrl (the "Service") and the website at gpuctrl.com, both operated by D2 Software LLC ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. By signing up, you represent that you meet this requirement and that the information you provide is accurate.
2. Your account
You are responsible for:
- Keeping your login credentials secure.
- All activity that happens under your account.
- Notifying us promptly at gpuctrl@gmail.com if you suspect unauthorized access.
You must not share your account or transfer it to anyone else. One license, one user.
3. License
Subject to your compliance with these Terms, D2 Software LLC grants you a personal, non-exclusive, non-transferable, revocable license to install and use GPUCtrl on up to two (2) devices that you own or control. You may use GPUCtrl for personal or commercial work, including paid client work that you perform.
GPUCtrl is licensed to you, not sold. We retain all right, title, and interest in the Service, including all intellectual property rights.
Open-source components. GPUCtrl is built on open-source software released under permissive licenses (primarily MIT, Apache 2.0, and BSD). A complete list of those components, their copyright holders, and the full text of each license is included with the application installer and accessible from GPUCtrl's About menu. Those components are the property of their respective authors and are licensed under their own terms; nothing in these Terms is intended to override, limit, or replace your rights under those licenses.
4. Trial
We offer a 7-day free trial of the full Service. Trials are limited to one per person. We may end or modify the trial program at any time. We may end your trial early if we detect abuse or attempts to circumvent the trial limit.
5. Pricing and payment
GPUCtrl Pro is sold as a one-time purchase. The current launch price is $19 USD (regular price $39 USD), plus any applicable sales tax. The price displayed at checkout governs your purchase; promotional pricing may end at any time without notice. Payment is processed by Lemon Squeezy, our payment processor and merchant of record. Once payment is confirmed, you receive a perpetual license to GPUCtrl, including all future updates we choose to release as part of the same product line.
We may change pricing for new purchases at any time. Existing license holders are not affected.
Taxes. Lemon Squeezy collects and remits applicable sales tax, VAT, or GST at checkout based on your billing address. You are responsible for any other taxes — such as use tax or self-assessed VAT in jurisdictions where Lemon Squeezy does not collect — that may apply to your purchase.
6. Refund policy
We offer a 30-day money-back guarantee. If GPUCtrl doesn't work for you, email gpuctrl@gmail.com within 30 days of your original purchase and we will issue a full refund. After 30 days, all sales are final.
Refunds are processed back to your original payment method through Lemon Squeezy and typically appear within 5-10 business days.
Chargebacks. If you initiate a chargeback or payment dispute with your card issuer instead of contacting us first, we may suspend your license while the dispute is open. Please email us at gpuctrl@gmail.com first — almost every issue we hear about gets resolved with a refund without going through your bank.
7. Acceptable use
You agree not to:
- Reverse engineer, decompile, or disassemble GPUCtrl, except to the extent that applicable law expressly permits.
- Resell, sublicense, rent, lease, or distribute the Service or your license.
- Use the Service to develop a competing product.
- Remove or alter any copyright, trademark, or proprietary notices.
- Use the Service to facilitate any illegal activity, including infringement of third-party intellectual property rights.
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
- Use automated tools (bots, scrapers) to interact with our website or backend.
- Share your account credentials with any other person.
We reserve the right to suspend or terminate any account that violates these rules.
Export control. The Service is subject to US export control laws. By using GPUCtrl, you represent that (a) you are not located in, or a national or resident of, any country subject to a US embargo (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia regions), and (b) you are not listed on any US government denied-parties or sanctions list. You agree not to use, export, re-export, or transfer the Service in violation of US export control laws.
8. Updates and changes to the Service
We may release updates to GPUCtrl that fix bugs, add features, or address security issues. Some updates may change or remove features. We may also discontinue the Service or any part of it on reasonable notice, in which case we will stop charging for new purchases.
Beta and pre-release features. We may offer features, builds, or platforms (such as the Windows beta of GPUCtrl) on a pre-release basis. Beta features are provided "as is" for testing and evaluation purposes, may be incomplete or unstable, may change or be removed at any time, and are excluded from any refund or service commitment beyond the 30-day refund window described in section 6.
9. Privacy
Our handling of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
10. Termination
You may stop using the Service at any time. To delete your account, email gpuctrl@gmail.com with the subject line "Delete account".
We may suspend or terminate your access to the Service immediately, without notice, if:
- You violate these Terms.
- We detect fraud or abuse.
- We are required to do so by law.
Sections 3 (License), 7 (Acceptable use), 11 (Disclaimers), 12 (Limitation of liability), 13 (Indemnification), and 14 (Governing law) survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR TRADE USAGE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS. YOU USE GPUCTRL AT YOUR OWN RISK.
GPUCtrl manages and launches third-party software (ComfyUI, Stable Diffusion, Blender, and others). We are not responsible for any data loss, damage, or other harm arising from your use of those third-party tools, even when launched through GPUCtrl.
Some jurisdictions do not allow exclusion of certain implied warranties. To the extent any cannot be disclaimed under applicable law, they are limited to the maximum extent permitted by law.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, D2 SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100).
These limitations apply regardless of the legal theory of the claim (contract, tort, statute, or otherwise) and even if any limited remedy fails of its essential purpose.
13. Indemnification
You agree to defend, indemnify, and hold harmless D2 Software LLC, its officers, members, and employees from any claim, demand, loss, or damages — including reasonable attorneys' fees — arising from:
- Your use or misuse of the Service.
- Your violation of these Terms.
- Your infringement of any third-party right.
- Any content or workload you launch through GPUCtrl.
14. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and D2 Software LLC agree that any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Wake County, North Carolina, and both parties consent to the personal jurisdiction of those courts.
If you are a consumer in the EEA or UK, this clause does not deprive you of the protection of the mandatory consumer law of your country of residence.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will:
- Update the "Last updated" date at the top.
- Notify existing customers by email if the changes are material.
Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you don't agree, your only remedy is to stop using the Service and request deletion of your account.
16. Miscellaneous
- Entire agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and D2 Software LLC regarding the Service.
- Severability — If any provision is found unenforceable, the rest remain in effect.
- No waiver — Our failure to enforce a provision is not a waiver of that provision.
- Assignment — You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure — We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices to you — We send legal notices to the email address associated with your account. You are responsible for keeping that email current. Notices are deemed received 24 hours after we send them.
- Notices to us — Send any required legal notice to gpuctrl@gmail.com with the subject line "Legal notice".
- Headings — Section headings are for convenience and do not affect interpretation.
